IMPORTANT: PLEASE READ THESE RULES OF USAGE BEFORE YOU REGISTER FOR AND USE “TOYOTA CONNECT INDIA” MOBILE APPLICATION SERVICES.

ALL TRADEMARKS AND COPYRIGHTS OF “TOYOTA CONNECT INDIA” (DEFINED HEREINAFTER) MOBILE APPLICATION SERVICES IS OWNED BY TOYOTA KIRLOSKAR MOTORS INDIA PVT LTD., (REFERRED TO THROUGHOUT THIS USAGE RULES AS “TKM”).

TOYOTA CONNECTED INDIA PRIVATE LIMITED (formerly Gazoo Media Service India Pvt. Ltd) IS THE AUTHORISED REPRESENTATIVE OF TKM, AUTHORISED TO ACT ON BEHALF OF TKM IN RELATION TO TOYOTA CONNECT INDIA TELEMATICS MOBILE APPLICATION AND THEREBY SETS OUT THESE TERMS AND CONDITIONS FOR ITS USE BY ALL ITS USERS.

THESE RULES OF USAGE SHALL APPLY TO ANY MATTERS CONCERNING THE USE OF THE TOYOTA CONNECT INDIA TELEMATICS SMARTPHONE APPLICATION AND SERVICES (REFERRED TO THROUGHOUT THESE USAGE RULES AS “TOYOTA CONNECT” OR “APP”) PROVIDED BY TOYOTA CONNECTED INDIA PRIVATE LIMITED., (formerly Gazoo Media Service India Pvt. Ltd) (REFERRED TO THROUGHOUT THESE USAGE RULES AS THE "COMPANY”).

YOU CAN REGISTER FOR TOYOTA CONNECT ON YOUR MOBILE DEVICE. BY REGISTERING FOR TOYOTA CONNECT, YOU WILL BE DEEMED TO HAVE READ, UNDERSTOOD AND ACCEPTED THESE TERMS AND CONDITIONS IN THE SAME WAY AS IF YOU HAVE SIGNED A PRINTED VERSION AND YOU SHALL BE BOUND BY THEM TILL TERMINATION OF YOUR REGISTRATION WITH TOYOTA CONNECT.

IF YOU DO NOT AGREE WITH ANY OF THE TERMS SET OUT HEREIN, YOU SHALL NOT USE TOYOTA CONNECT OR ANY SERVICES PROVIDED BY IT, AND IF YOU HAVE ALREADY INSTALLED ‘TOYOTA CONNECT ’, YOU SHALL UNINSTALL THE APPLICATION FROM YOUR MOBILE DEVICE.

Article 1 (Persons to whom these Rules of Usage (“Rules”) apply, the scope of and changes to these Usage Rules and notifications to Users)

  • Users of Toyota Connect ;

    Toyota Connect is provided strictly to individuals who own a Toyota vehicle, purchased through only authorised dealers of TKM and who have obtained membership/ registration of Toyota Connect (referred to throughout these Rules as the "User”). The Company may vary these Rules at any time without the User's consent for any reason including but not limited to security, legal or regulatory reasons, or to reflect updates or changes to the services or functionality of Toyota Connect, by publishing the varied Rules on the home screen of Toyota Connect.
  • The User accepts that by following the procedure set out in Article 1(2), the Company will have provided the User with sufficient notice of the variation to these Rules. The Company is under no obligation to specifically contact or notify the User of any variation to these Rules. By using Toyota Connect after any variation to these Rules, the User shall be deemed to have accepted the revised/ modifies Rules. The Company shall grant the User the right to use Toyota Connect, subject to these Rules, for smartphones and other electronic devices, which are managed and operated by the User (each referred to throughout these Rules as an "Information Communication Terminal”).
  • The User may only use Toyota Connect on Information Communication Terminals and operating systems that are authorized/recognized by the Company as being eligible to receive the service.

Article 2 (Content of Toyota Connect)

  • The content of the Toyota Connect service which shall be made available to the User under the Rules shall be set out in a separate document or within Toyota Connect. The Company may change any or all aspects of Toyota Connect, including but not limited to the display, content and user interface of Toyota Connect, at any time and without any notification to the User.
  • Certain individual services may be purchased through Toyota Connect (each referred to throughout these Rules as the "Individual Service"). Individual Services may be provided by the Company or a third party provider (referred to throughout these Rules as an "Individual Service Provider"). The User shall consent to the rules and other rules and guidelines specified as applying to an Individual Service (including but not limited to general terms and conditions) by the Company or an Individual Service Provider. Additionally these Rules shall always apply to any Individual Service provided by the Company. In the case where specific rules and other rules and guidelines apply to an Individual Service, the terms of those specific rules and other rules and guidelines shall prevail over the terms of these Rules, but only to the extent of any inconsistency.
  • Individual Services currently include,

    Navigation
    Assisted Navigation system with offline maps and a custom built navigation function.

    Operator Service
    Operator Service is a dedicated premium telematics call centre service to provide personalised navigation assistance to the Users.

    Provide list of dealers with telephone numbers to facilitate users to reach out to Toyota for inquiries and feedback

    Road Side Assistance (RSA)
    Supports Road Side Assistance during vehicle breakdown to the selected car, which is eligible for Toyota eRSA support.

    Vehicle Maintenance Service Appointment
    Request service appointment or reschedule or cancel the appointment and check estimate. Check vehicle service status and next service due. Further, users may also use service of online payment, for which Terms & conditions are defined separately and included in the Individual Service.

    Toyota Q Service
    Provides information about Toyota Service and weather or seasonal based vehicle maintenance tips

    Inbox
    The Users can receive and view different types of message/notifications like service reminders, insurance due, seasonal tips, service campaigns and updates sent from the Company or TKM or Authorised Dealers of TKM. Further it also Capture likes & comments, multimedia promotional messages.

    Users may share the app with others and visit Toyota Website.

    Digital records wallet
    Users may able to view Invoices, Receipt generation, policies , personal records, epayment and Notifications related to policies renewal, claim registrations etc.

    Features such as smile Passbook, Tyre, battery and warranty information

  • The APP may transmit information via push notification as one of the Services as detailed in Article 3h ‘Inbox’. By accepting Toyota Connect India Rules, The User is deemed to have consented to receiving notifications from the Company or its authorized service provider/s. The Inbox service enables the User to be kept up-to-date on any topics pertaining to Toyota Connect or its services.
  • Toyota Connect is available in all the states and union territories of India (referred to through out these Rules as the “Serviced States”). The Company may increase or decrease the number of Serviced States, or vary the scope of the services offered through Toyota Connect in any of the Serviced States, at any time and without notice to the User.
  • The User is solely responsible for all costs, including but not limited to, telecommunications costs, network provider costs and Information Communication Terminal costs that he or she incurs in connection with the installation and use of Toyota Connect.
  • The Company does not warrant, represent or undertake that:

    Toyota Connect will meet the User's needs, or that it will be uninterrupted, timely, secure, error-free or free from viruses; or

    The information obtained from or available through Toyota Connect will be accurate or reliable, or that the quality of any information obtained by the User through or as a result of the User's use of Toyota Connect will meet a User’s expectations.

  • All warranties implied by law, except those that cannot be lawfully excluded, are excluded.

Article 3 (Use of Toyota Connect )

  • By clicking the 'AGREE' button below, the User agrees to be bound by these Rules.
  • Individual Services shall be sold to the User for a fee through in-app purchases. It will be necessary to repurchase an Individual Service when that Individual Service's effective term expires.
  • In order to install access and use Toyota Connect, the User must satisfy the minimum age requirement of 18 years (measured according to the Gregorian calendar) and have full legal capacity under the Laws of India.
  • The User shall not use Toyota Connect in any manner that could, or could reasonably be expected to, damage or overburden any of the Company's servers, or any network connected to any of the Company's servers. The User must not use Toyota Connect in any manner that would, or could reasonably be expected to, interfere with any other party’s use of Toyota Connect or which is, or which is likely to be, in contravention of any applicable laws or any party's rights or legal entitlements under any applicable laws.

Article 4 (Suspension or termination of the use of Toyota Connect)

  • The Company may suspend or terminate the use of Toyota Connect by the User at any time without notice to the User and for any reason, including if the Company determines, in its sole discretion, that any of the following events have occurred, or are likley to occur:
  • When the user no longer owns a Toyota vehicle;
    the User has acted in breach of these Rules;
    the User chooses to terminate the future use of Toyota Connect through the application screen of Toyota Connect ;
    the User has made a false representation to the Company vis-a-visto his or her personal identification including but not limited to his or her age, telephone number, e-mail address or other contact information (referred to throughout these Rules as the "Contact Information");
    the User has improperly used Toyota Connect ;
    the User has disturbed or interrupted the operation of Toyota Connect ; or
    the User delays payment of, or refuses to pay, the Fee.

Article 5 (Prohibition of the transfer of rights and obligations)

The User shall not transfer or assign to a third party, any right or obligation relating to use of Toyota Connect or any services provided by it.

Article 6 (Login Information)

In order to make use of Toyota Connect , the User shall need to register an account with the Company ("Online Account"). In order to register an Online Account, the User must:

provide the Company with complete and accurate personal information;
ensure that his or her use of Toyota Connect is in accordance with these Rules and any applicable laws; and
Select a username and password ("Login Information").

By registering an Online Account with the Company, the User warrants, represents and undertakes that:

he or she has given complete and accurate registration information and personal information, and will keep that information updated; and
His or her use of Toyota Connect does not violate these Rules or breach any applicable laws.

The User is responsible for all activities that occur in connection with his or her Login Information. Accordingly, the User must take steps to protect the confidentiality of his or her Login Information. The User must not disclose his or her Login Information to any third party. The User must notify the Company immediately if he or she becomes aware of any disclosure, loss, theft or unauthorised use of his or her Login Information.

The User shall be solely responsible for any act conducted using his or her Login Information, and the consequences of such an act, including all orders, service requests/appointments or instructions and data trasmissions, rely on which the Company or its affiliates or Authorised dealers of TKM executes or performs, regardless of whether or not the User conducted that act.

The User shall be solely responsible for all loss, harm and damage arising as a result of the use of his or her Login Information.

The User shall not use the Login Information of any third party at any time and shall be solely liable and responsible for any loss arising from a breach of this Article.

Article 7 (Changes to Contact Information)

  • The User shall promptly update authorised Toyota dealers for any changes in his or her Contact Information.
  • The Company shall not be responsible for any loss, harm, damage or inconvenience that the User suffers as a result of his or her failure to comply with Article 7(1).

Article 8 (Procurement of the Information Communication Terminal)

  • The User is solely responsible for procuring the Information Communication Terminal/Internet through which he or she accesses Toyota Connect and any accompanying equipment or software at his or her sole cost and expense.
  • The User uses Toyota Connect entirely at his or her own risk.
  • Certain services and functions of Toyota Connect (including the Individual Service) will only work if the current positioning information (Global Positioning System) on the Information Communication Terminal is activated and set to “ON”. It is the User's sole responsibility to activate this setting on his or her Information Communication Terminal. The Company shall not bear any responsibility or liability for any damage, loss, harm or inconvenience incurred by the User for his or her failure to comply with this Article.

Article 9 (Changes and abolishment of an Individual Service)

The Company may change or abolish a specific Individual Service of Toyota Connect at any time without notification and without incurring any liability to the User.

Article 10 (Termination of an Individual Service)

The Company may cancel and thereby terminate the provision of an Individual Service at any time without notification and without incurring any liability to the User.

Article 11 (Temporary suspension of the provision of the Toyota Connect service)

The Company may temporarily suspend the provision of Toyota Connect without liability or notification to the User and at any time in any of the following circumstances:

periodical or emergency maintenance of Toyota Connect is conducted;
the provision of Toyota Connect becomes impossible due to acts outside of the Company's control, including but not limited to, failure of electronic or mechanical equipment or communications lines (including telephone, cable and Internet), unauthorised access, acts or omissions of third parties, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, tsunami or other act of God), fire, war, insurrection, terrorist act, riot, labour dispute or other labour problems, accident, emergency, delay, overbooking, cancellation, change in Law or action of government or any other event beyond the control of the Company;
communication services (including internet connectivity) are suspended;
network disturbance occurs as a result of the environment in which the Information Communication Terminal is used; and
When the Company judges it necessary to temporarily suspend the provision of Toyota Connect for legal, security, operational or technical reasons.

Article 12 (Compensation of damages)

  • If the use of Toyota Connect by the User causes damage, harm, loss or inconvenience to a third party, the User shall be solely responsible for settling the matter with the third party at his or her sole cost and expense and without causing any inconvenience to the Company.
  • If the use of Toyota Connect by the User violates Rules or causes damage, harm, loss or inconvenience to the Company, the Company may demand damages in the form of compensation from the User.

Article 13 (Indemnification and Limitation of Liability)

  • To the maximum extent permissible under applicable laws, the Company shall not be responsible for any damage, harm, loss or inconvenience suffered by the User as a result of his or her use of Toyota Connect.

  • The Company shall not bear any obligation or responsibility for services and information provided by the provider of the Individual Services other than the Company.

  • If any dispute arises between the User and an Individual Service Provider, the dispute shall be settled between the User and that Individual Service Provider and the User shall not submit any demand, claim or complaint to or against the Company. The Company bears no responsibility for any act, omission or representation of an Individual Service Provider and does not offer any warranties or make any representations, in relation Individual Services provided to the User by an Individual Service Provider.

  • The User shall indemnify the Company in full in respect of any liability incurred by the Company for any loss, cost, damage, or expense howsoever caused, or suffered by the Company as a result of the User's breach of these Rules. Where the User uses Toyota Connect inappropriately or maliciously, the User agrees that he or she will indemnify the Company against any losses suffered by the Company or any third parties as a result of or in connection with such use.

  • Subject to any responsibilities implied by law and which cannot be excluded, neither the Company nor any of its directors, employees, agents or contractors, are liable to the User for any losses, damages, liabilities, claims and expenses (including without limitation but not limited to legal costs and defence or settlement costs) whatsoever, whether direct, indirect or consequential, arising out of or referable to Toyota Connect or to the installation, access and use of Toyota Connect by the User, however caused, whether in contract, tort (including negligence), statute or otherwise.

  • The entire and overall liability of the Company whether in tort or otherwise shall in no event exceed the amount of fees paid to it for the services rendered by it that caused such liability on the Company.

  • The Company shall not be liable to the User or anyone else for any loss resulting from a cause over which the Company does not have control. This includes failure of electronic or mechanical equipment or communications lines (including telephone, cable and Internet), unauthorised access, acts or omissions of third parties, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, tsunami or other act of God), fire, war, insurrection, terrorist act, riot, labour dispute or other labour problems, accident, emergency, delay, overbooking, cancellation, or action of government.

Article 14 (Personal use of Toyota Connect)

  • All intellectual property rights, including without limitation, copyright in all content available through Toyota Connect are owned solely by the Company and/ or by its licensors.

  • The User shall not reproduce, alter, modify, adapt, reverse engineer, sell, publish or use by any other means any information obtained through Toyota Connect for any purpose other than the personal use of the User without obtaining the consent of the copyright owner and the owner of other relevant intellectual property rights (referred to throughout these Rules as the "Copyright Owner”)

  • The User shall not allow a third party to reproduce, alter, modify, adapt, reverse engineer, sell, publish or use by any other means any information obtained through Toyota Connect or make such information available to the public or to third parties without obtaining the consent of the Copyright Owner.

  • Except where necessary for and incidental to personally installing, using and accessing Toyota Connect through the User's Information Communication Terminal, or as permitted by these Rules or under applicable laws, no part of Toyota Connect may be reproduced, stored (for any period of time) in an electronic or any other retrieval system, modified, adapted, uploaded to a third party location, framed, performed in public, or transmitted, in any form by any process whatsoever, without the Company's specific prior written consent.

Article 15 (Prohibited matters)

  • The User shall not use Toyota Connect for commercial activities or commercial purposes without obtaining the prior express and written consent of the Company.

  • The User shall not use Toyota Connect in any way that is contrary to the laws of India, statutes, codes, ordinances, decrees, rules, regulations, municipal by-laws, judgments, orders, decisions, rulings or any government agency or department in India or that is otherwise contrary to public order and morality, including, without limitation, applicable export and import control laws and regulations, and User shall not allow any other party to use the service or the Toyota Connect application for or in connection with any illegal purpose or activity. The Toyota Connect application is not intended for distribution or use by any person in any jurisdiction or country where such use and/or distribution would be contrary to local laws, rules of the service and the Toyota Connect application will at all times be in compliance with) all applicable laws, rules and regulations, including, without limitation, applicable export and import control laws and regulations.

  • The User shall not license, sublicense, sell, disseminate, broadcast, transmit, or otherwise distribute the Toyota Connect application or the Service in any form or by any means, or otherwise transfer, assign, manipulate, or grant any rights of use or any other rights in respect of the Toyota Connect application or the service, or any part thereof, or the information contained therein, to any other party.

  • The User Shall not copy the Toyota Connect application or the information accessible through the service onto any public or publicly accessible network, or make any additional copies of or reproduce in any way the whole or any part of Toyota Connect application or the services whatsoever.

  • The User shall not remove or tamper with any proprietary notices or labels, including copyright notices or data source attributions, attached to or contained within Toyota Connect application or the service provided by it.

  • The User shall not use Toyota Connect application or the service in any way that may lead to the encouragement, procurement or carrying out of any unlawful or criminal activity or which may cause any harm or injury to any person.

  • The User shall not cause damage to any of the websites, servers, systems or equipment used in the provision of the service by the Company or TKM, and Authorized Dealers of TKM or any other third party, and you may not access or attempt to access any user data or to penetrate any of the security measures relating to the service.

Article 16 (E-mail, etc.)

  • The User acknowledges that he or she will be solely responsible for any use of the e-mail functionality (such as sending and receiving e-mails) that is made available through Toyota Connect or an Individual Service.

  • Except for mechanical processing, communication processing and other activities of lawful operation, the Company shall not view or disclose to a third party the content of e-mails (including email addresses) or related information other than in accordance with applicable laws or the terms of these Rules, and shall guarantee the secrecy of the User's communications.

Article 17 (Treatment of Personal Information)

  • For the purposes of these Rules, "Personal Information" means any information about an individual which contains his or her name, age, date of birth or any other description or information by which a specific individual can be identified (including information that can be collated with other information so that a specific individual can be identified) and any other information designated as Personal Information under applicable laws.

  • The User agrees and consents to the Company collecting the User’s Personal Information including information relating to the status of a User’s use of Toyota Connect to the Company’s affiliates, service providers or partners for the purpose of providing services to the User.

  • The Company shall manage the Personal Information that it collects in accordance with its data privacy policies and applicable laws.

  • The User agrees that the Company may use his or her Personal Information (including but not limited to his or her name, address, date of birth, telephone number and e-mail address) for the following purposes and the User consents to such:

  • dispatching and sending notices and other forms of communication to the User in relation to, among other things, Toyota Connect products and services;

  • providing Toyota Connect and making Toyota Connect available to the User;

  • Planning and developing products and services, or implementing surveys, for the purpose of improving the quality of Toyota Connect products and services and Toyota Connect user satisfaction.

  • The Company may provide Personal Information to an Individual Service Provider of an Individual Service that the User has subscribed for. When the Company discloses Personal Information to an Individual Service Provider, the Company shall use reasonable means to ensure that the Individual Service Provider safeguards the Personal Information.

  • The Company shall monitor and record conversations between Users and the Company where it is necessary to do so for the sole purpose of:

  • confirming the content of the User's request; and

  • Improving the quality of service provided to Users and User satisfaction.

  • The User agrees that the Company may disclose his or her Personal Information (including but not limited to his or her name, address, date of birth, telephone number and e-mail address) to the following parties:

  • TKM or any company in the TOYOTA group of companies; and

  • the provider of the Individual Service;

  • The User agrees that the Company, or any party in possession of Personal Information under the terms hereof, may disclose his or her Personal Information if it judges that such disclosure is necessary to protect an important interest of the User or a third party, or if it is necessary to do so as a result of a legal obligation with which the Company must comply, irrespective of the jurisdiction in which that legal obligation arises.

  • The User may request the disclosure, correction, deletion, and suspension of the use of his or her Personal Information by contacting authorized Toyota Dealers.

  • The Company shall comply with a request issued by a User under Article 17(9) to the extent that the Company is able to do so while acting in accordance with applicable laws. The User acknowledges and agrees that the deletion of his or her Personal Information may make it necessary for the Company to terminate his or her use of Toyota Connect.

Article 18 (Payment of Toyota Connect usage fee)

  • If the User wishes to cancel his or her use of Toyota Connect, he or she shall notify the Company by clicking the 'Delete Account' button in the ‘User profile'. The cancellation shall then become immediately effective.

  • Once a User cancels his or her use of Toyota Connect, that User's subscriptions to Individual Service(s) will also be cancelled with immediate effect.
  • If the User cancels his or her use of Toyota Connect, the Company shall not refund any amounts paid to the Company by the User for any Individual Service and amount shall not be transferred to any other individuals or users.
  • When Toyota Customer becomes Non Toyota as defined in Article 4, his or her subscription as ‘User’ shall stand cancelled with immediate effect and Clause 1 to 3 of Article 19 applies.
  • Any outstanding payments due to the Company by the User shall become payable immediately on the termination or cancellation of the User's use of Toyota Connect.

Article 19 (Cancellation of the use of Toyota Connect by the User)

All Toyota Connect usage fees shall be paid for:

  • using iTunes by Users procuring Toyota Connect through an Apple Information Communication Terminal; and

  • using Paypal or Google wallet or any payment gateways recommended by the company for Users procuring Toyota Connect through Information Communication Terminals using the Android operating system.

Article 20 (Law and Jurisdiction)

The law applicable to Toyota Connect , these Rules and to disputes arising out of the use of Toyota Connect by the User are shall be governed by law of India, and only the courts in Bangalore-India will have jurisdiction to adjudicate any dispute.

Article 21 (General)

The Company may perform any of its obligations, and exercise any of the rights granted to it under these Rules, through a third party. The Company may assign any or all of its rights and obligations under these Rules to any third party.

If any clause or part of any clause of these Rules is found to be void, unenforceable or invalid, then it will be severed from these Rules and all other Rules remaining in full force and effect, provided that the Company at its sole discretion determines that such severance of the Rules has not altered its basic nature.

The User may not rely on the Company's words or conduct as a waiver of any right unless the waiver is in writing. In this Article, “conduct” includes delay in the exercise of any right. For the purposes of this clause, “right” means any of the Company's rights arising under or in connection with these Rules or otherwise, and includes the right to rely on this clause.

These Rules and any terms of use applying to an Individual Service constitute the entire agreement between the User and the Company in relation to Toyota Connect and supersede in their entirety any and all written or oral agreements previously existing between the User and the Company with respect to such subject matter.

Toyota Connect India (navigation service) Usage Rules

The Toyota Connect India (navigation service) Usage Rules ("Navigation Rules") contain provisions regarding the use of the navigation service (referred to throughout these Navigation Rules as the "Service") provided by TOYOTA Connected India Pvt. Ltd., (formerly Gazoo Media Service India Pvt. Ltd) (referred to throughout these Navigation Rules as the "Company”) as a part of Toyota Connect India.

The Service constitutes an Individual Service provided under Paragraph 2, Article 2 of the Toyota Connect India Usage Rules, and in the event of any inconsistency between the terms of the Usage Rules and the terms of the Navigation Rules, the terms of the Navigation Rules shall prevail but only to the extent of the inconsistency.

Chapter 1: General provisions

Article 1 (Specification of the User)

The Service may be used only by the User of Toyota Connect India except as otherwise provided in these Navigation Rules.

Article 2 (Environment and conditions of the provision)

The use of the Service requires a Toyota Connect India compatible terminal (referred to throughout these Navigation Rules as the "Service Compatible Terminal") and the application exclusively for the Service compatible with each function (referred to throughout these Navigation Rules as the "Service Application").

The Service may not effectively function under the following circumstances, for which the Company bears no responsibility or liability to the User:

  • when communication using the Internet is not available;

  • when radio wave conditions are inferior or stable communication is otherwise impossible;

  • when the memory capacity of the Service Compatible Terminal is insufficient;

  • in the event of technical issues;

  • when using a function which is available through a telephone operator ("Operator Services") in a place where there is any sort of disruption in the service; and

  • When using an Operator Service Function in a language other than English or Hindi.

  • When using an Operator Service after business hours or non-working hours

Chapter 2: The Service

Article 3 (Communication charges)

Communication charges may be incurred when using the Service. The User shall be solely responsible for all costs associated with the use of the Service, including but not limited to communication charges.

Article 4 (Notification method)

The Company shall notify the User of any temporary suspension to the provision of the Service by way of a display on the "Notice" page of Toyota Connect India or any other method which the Company considers appropriate.

Article 5 (Suspension of the provision of the service)

The Company may terminate or suspend the provision of the Service for any reason, at any time and without liability or notice to the User.

Article 6 (Prohibited matters)

In using the Service, the User shall not:

  • act in manner which will, or is likely to, violate the copyrights trademarks or other intellectual property rights of the Company or any third party;

  • act in manner which will, or is likely to, violate the privacy of a third party;

  • act in manner which will, or is likely to, allow a third party to obtain global positioning information by allowing the third party to use the Service;

  • engage in any Illegal access, illegal attacks or acts which are likely to cause a disturbance;

  • act in manner which will, or is likely to, prevent the provision of the Service or harm, delay or otherwise impede the provision of the Service;

  • act in manner which will, or is likely to, cause disturbance to business activities of the Company or other third parties;

  • act in manner which will, or is likely to, cause disadvantage, harm or damage to the Company or a third party;

  • act in manner which will, or is likely to, constitute or assist in the conduct of a criminal act;

  • acts to use as his or her business any information which may be obtained by using the Service or to provide for a third party’s use regardless of his or her means;

  • attempt to use or access the Service with any terminal other than the Service Compatible Terminal (including terminals made by illegally altering the Service Compatible Terminal);

  • reverse compile, reverse assemble or reverse engineer the Service;

  • use or attempt to the use the Service in combination with other applications or services;

  • delete or alter any indications of copyrights and other intellectual property rights relating to the Service;

  • act in manner which will, or is likely to, violate applicable laws of India

Article 7 (Collection of information)

In the course of providing the Service, the Company shall collect User information, positioning information and voice data, among other things, from the User. To the extent that positioning information causes a specific individual to be identified, that positioning information shall be treated pursuant to Article 17 of the Toyota Connect India Usage Rules.

Article 8 (Treatment of positioning information)

The User accepts that the positioning and other information made available to the Company by the User as a result of and in connection with the User's use of the Service (referred to throughout these Navigation Rules as the "Stored Information") shall be stored temporarily by the Company in order to enable the User to use and benefit from the Service.

The User accepts that the Company may use the Stored Information for any purposes other than enabling the User to use and benefit from the Service if the Stored Information has been processed into data from which individual persons cannot be identified. The User agrees and consents to the Company providing such processed data to third parties for the purposes of improving the quality of the Service, the development and provision of a more effective destination search and guide service and other purposes which the Company considers useful or appropriate and in no event for any other purpose other than in connection with the services being provided to a User.

Article 10 (Map information)

The Company shall provide map information (referred to throughout these Navigation Rules as the "Data") which is used for the Service to the User under license from “HERE North America LLC/HERE Europe BV” and “ZENRIN DataCom Co., Ltd.” (Referred to throughout these Navigation Rules as the "Map Information Provider").

The Data is provided for the User's personal, internal use only and not for resale. It is protected by copyright, and is subject to the following terms and conditions:

Personal Use Only. The User agrees to use the Data together with the Service for the solely personal, non-commercial purposes for which the User was licensed, and not for service bureau, time-sharing or other similar purposes. Accordingly, but subject to the restrictions set forth in the following paragraphs, the User agrees not to otherwise reproduce copy, modify, decompile, disassemble, create any derivative works of, or reverse engineer any portion of the Data, and may not transfer or distribute it in any form, for any purpose, except to the extent permitted by mandatory laws.

Restrictions. Except where the User has been specifically licensed to do so by the Company, and without limiting the preceding paragraph, the User may not (a) use the Data with any products, systems, or applications installed or otherwise connected to or in communication with vehicles, capable of vehicle navigation, positioning, dispatch, real time route guidance, fleet management or similar applications; or (b) with or in communication with any positioning devices or any mobile or wireless-connected electronic or computer devices, including without limitation cellular phones, palmtop and handheld computers, pagers, and personal digital assistants or PDAs.

Warning. The Data may contain inaccurate or incomplete information due to the passage of time, changing circumstances, sources used and the nature of collecting comprehensive geographic data and any other reasons beyond the control of the Company, any of which may lead to incorrect results.

No Warranty. The Data is provided to the User “as is,” and the User agrees to use it at his or her own risk. The Company and its licensors (and their licensors and suppliers) makes no guarantees, representations or warranties of any kind, express or implied, arising by law or otherwise, including but not limited to, content, quality, accuracy, completeness, effectiveness, reliability, fitness for a particular purpose, usefulness, use or results to be obtained from the Data, or that the Data or server will be uninterrupted or error-free.

Disclaimer of Warranty: THE COMPANY AND ITS LICENSORS (INCLUDING THEIR LICENSORS AND SUPPLIERS) DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, OF QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Some States, Territories and Countries do not allow certain warranty exclusions, so to that extent the above exclusion may not apply to the User.

Disclaimer of Liability: THE COMPANY AND ITS LICENSORS (INCLUDING THEIR LICENSORS AND SUPPLIERS) SHALL NOT BE LIABLE TO THE USER: IN RESPECT OF ANY CLAIM, DEMAND OR ACTION, IRRESPECTIVE OF THE NATURE OF THE CAUSE OF THE CLAIM, DEMAND OR ACTION ALLEGING ANY LOSS, INJURY OR DAMAGES, DIRECT OR INDIRECT, WHICH MAY RESULT FROM THE USE OR POSSESSION OF THE INFORMATION; OR FOR ANY LOSS OF PROFIT, REVENUE, CONTRACTS OR SAVINGS, OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USER'S USE OF OR INABILITY TO USE THIS INFORMATION, ANY DEFECT IN THE INFORMATION, OR THE BREACH OF THESE TERMS OR CONDITIONS, WHETHER IN AN ACTION IN CONTRACT OR TORT OR BASED ON A WARRANTY, EVEN IF THE COMPANY OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some States, Territories and Countries do not allow certain liability exclusions or damages limitations, so to that extent the above may not apply to the User.

Export Control. The Company shall not export from anywhere any part of the Data or any direct product thereof except in compliance with, and with all licenses and approvals required under, applicable export laws, rules and regulations, including but not limited to the laws, rules and regulations administered by the Office of Foreign Assets Control of the U.S. Department of Commerce and the Bureau of Industry and Security of the U.S. Department of Commerce. To the extent that any such export laws, rules or regulations prohibit HERE from complying with any of its obligations hereunder to deliver or distribute Data, such failure shall be excused and shall not constitute a breach of this Agreement.

Article 11 (No guarantee of the integrity of the map information)

The Company does not guarantee the integrity, usefulness, accuracy or promptness of the map information used or supplied in connection with the Service, and shall not bear any responsibility for loss, harm, inconvenience or damage suffered by a User as a result of his or her reliance on map information provided through the Service.

Article 12 (Indemnification concerning the precision of the acquisition of GPS)

Positioning information used in the Service means information about the latitudal and the longitudal location of the User. The positioning information is obtained using the GPS functionality installed on the Service Compatible Terminal and base station information (in the case of Service Compatible Terminals which do not have GPS functionality, only base station information is used). GPS radio waves may be difficult to receive or may not be received in buildings, areas with skyscrapers, near high-tension wires, and near areas with densely planted trees, and in such circumstances, positioning is conducted using base station information only. Further, the base station information may not be available due to the situation of the location of the base station or the status of radio waves of the Service Compatible Terminal. In these cases, a substantial erroneous difference may be caused between the positioning information and the actual position, and the positioning information may not be obtained. The Company shall not be liable for any loss, harm, damage or inconvenience incurred by the User as a result of such an error.

Article 13 (Matters to be attended in use)

The User is responsible for ensuring his or her safety, and the safety of third parties (including vehicle passengers and pedestrians) when using the Service. The User accepts and agrees that the information provided through the Service is for reference purposes only, and the User is solely responsible for complying with road traffic rules and other applicable laws. Therefore, the User shall not use the Service for directions to police, fire stations, hospitals, clinics and other emergency service providers. Vehicles in which the Service is used should be stationary and parked safely.

Article 14 (Changes, addition and abolishment of the Service)

The Company may change, add to or abolish the whole or any part of the Service without notifying the User in advance.

Article 15 (Indemnification for damages accompanying to change, addition or abolishment)

To the maximum extent permissible under applicable laws, the Company shall not bear any responsibility or liability for any loss, harm, damage or inconvenience suffered by the User as a result of his or her use of the Service, even if such loss, harm, damage or inconvenience arises as a result of a change to, addition to or abolishment of the Service.

Article 16 (Indemnification for the scope of the provision of functions)

The functionality available to the User may differ depending on the Service Compatible Terminal, the Service, the existence or absence of version upgrades of the operating system of of the Service Compatible Terminal and various other factors outside the control of the Company. The Company does not guarantee that all functions of the Service shall be available to the User at all times.
